Important Notice:

These Terms and Conditons (“Terms”) govern all transporta􀆟
ton, logisycs, trucking, freight forwarding, and related services provided by US Power Freight LLC ("Company", "we", "us", or "our") to any customer, shipper, consignee, broker, or agent ("Client", "you", or "your"). By requestng, booking, or using our services, you agree to be legally bound by these Terms.

1. Definations

  • Carrier: US Power Freight LLC, including its employees, drivers, contractors, and agents.
  • Client/Shipper: Any individual or entity requestng transportation or logistics services.
  • Consignee: The party to whom the shipment is delivered.
  • Goods/Shipment: All cargo, freight, or property tendered to the Carrier.
  • Bill of Lading (BOL): The transportation contract and receipt issued for the shipment.
  • Services: Trucking, freight transportation, logistics, warehousing (if applicable), and
    related services.

2. Scope of Services

2.1 The Company provides domestic and/or international trucking and freight transportation services, subject to equipment availability and operational constraints.

2.2 The Company may subcontract all or part of the services to third-party carriers where necessary.

2.3 No guaranteed delivery times are provided unless expressly agreed in writing.

3. Booking & Acceptance of Shipments

3.1 All shipment requests are subject to acceptance by the Company

3.2 The Client warrants that all shipment details provided (weight, dimensions, contents, value, pickup/delivery locations) are accurate and complete.

3.3 The Company reserves the right to refuse or suspend transportation of any shipment at its sole discretion.

4. Prohibited & Restricted Goods

The following goods will not be accepted unless explicitly agreed in writing:

  • Illegal, stolen, or contraband goods
  • Hazardous, explosive, flammable, or toxic materials (unless properly declared and compliant with law)
  • Perishable goods without proper packaging
  • Currency, precious metals, jewelry, or valuables
  • Livestock or human remains

The Client is solely responsible for compliance with all applicable laws and regulations regarding the shipment.

5. Packaging, Loading & Weight Compliance

5.1 The Client is responsible for proper packaging suitable for road transportaƟon.

5.2 The Client warrants that shipments are properly loaded, secured, and within legal weight limits unless loading is performed by the Carrier.

5.3 The Carrier is not liable for damage caused by improper packaging or loading performed by the Client.

6. Rates, Charges & Payment Terms

6.1 Rates are based on information provided by the Client and are subject to change if shipment
details differ.

6.2 Payment terms are [advance / net 7 / net 15 / net 30] unless otherwise agreed in writing.

6.3 The Client is responsible for all charges including freight charges, fuel surcharges, tolls,
waiting time, detention, demurrage, storage, and re-delivery fees.

6.4 Late payments may incur interest at [5%] per month or the maximum allowed by law.

6.5 The Company reserves the right to exercise a lien over goods for unpaid charges.

7. Fuel Surcharge

Fuel surcharges may apply and will be adjusted in accordance with market fuel prices. Fuel surcharge rates are available upon request.

8. Pickup, Delivery & Delays

8.1 Pickup and delivery times are estimates only.

8.2 The Carrier is not liable for delays caused by traffic, weather, mechanical failure, road conditions, government actions, strikes, or force majeure events.

8.3 Detention time beyond [0.5 hours] at pickup or delivery locations may be charged.

9. Inspection & Claims

9.1 The Client or Consignee must inspect goods upon delivery.

9.2 Any visible damage or shortage must be noted on the delivery receipt at the time of delivery.

9.3 Written claims must be submitted on same day of delivery. Failure to do so constitutes acceptance of the shipment.

10. Limitation of Liability

10.1 US Power Freight LLC is not responsible for loss or damages of shipment which is not insured.

10.2 The Carrier is not liable for:

  • Indirect, consequential, or special damages
  • Loss of profit, market, or use
  • Damage caused by inherent nature of goods

11. Insurance

11.1 The Carrier maintains standard carrier liability insurance as required by law.

11.2 The Client is responsible for obtaining cargo insurance unless otherwise agreed.

12. Force Majeure

The Carrier shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, war, riots, pandemics, government actions, or labor disputes.

13. Compliance With Laws

The Client warrants compliance with all applicable laws, regulations, customs requirements, and documentation obligations.

10. Limitation of Liability

The Client agrees to indemnify and hold harmless the Carrier from any claims, damages, fines, or expenses arising from:

  • Inaccurate shipment information
  • Violation of laws
  • Dangerous or prohibited goods
  • Improper packaging or loading

15. Termination of Services

The Company may suspend or terminate services immediately in case of non-payment, legal violations, or breach of these Terms.

16. Confidentiality

All business, pricing, and operational information shared between parties shall be treated as confidential unless disclosure is required by law.

17. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the United States of America and the State of NM, and courts located within that State shall have exclusive jurisdiction.

18. Dispute Resolution

Disputes shall first be resolved through good-faith negotiation. If unresolved, disputes may be referred to arbitration or litigation as permitted by law.

19. Amendments

The Company reserves the right to amend these Terms at any time. Updated Terms will apply to all future shipments.

20. Entire Agreement

These Terms, together with the Bill of Lading and any written service agreement, constitute the entire agreement between the parties.
